Terms and Conditions for Use of Tech Products and Services

Please read these Terms and Conditions ("Terms") carefully before using the tech products and services provided by Jabu Technologies, Inc. ("Jabu", "us", "we", or "our"). Your access to and use of our tech products and services is conditioned upon your acceptance of and compliance with these Terms. By accessing or using our tech products and services, you agree to be bound by these Terms.

Confidentiality

You agree to maintain the confidentiality of any proprietary or confidential information disclosed by Jabu to you, including but not limited to customer information, trade secrets, financial information, technical information, software code, algorithms, designs, product plans, business strategies, and marketing plans ("Confidential Information"). You shall not disclose, reproduce, or use any Confidential Information, except as required to fulfill your obligations under these Terms, or as authorized in writing by Jabu. You agree to take all reasonable precautions to prevent unauthorized disclosure or use of Confidential Information.

Intellectual Property & Inventions

All intellectual property rights, including but not limited to patents, copyrights, trade secrets, and trademarks, in the tech products and services and any related materials are the exclusive property of Jabu. You agree to promptly disclose to Jabu any inventions, improvements, or ideas related to the tech products and services that are conceived, developed, or reduced to practice by you during your use of the tech products and services. You hereby assign to Jabu all right, title, and interest in and to any such inventions, improvements, or ideas, and agree to execute any documents or take any actions necessary to perfect Jabu's ownership of such inventions, improvements, or ideas.

Restrictions on Use

You agree not to engage in any activity that directly or indirectly competes with Jabu's business, including but not limited to the development, marketing, or sale of products or services that are similar to or compete with Jabu's tech products and services. You also agree not to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying ideas, or algorithms of the tech products and services, or to sublicense, rent, lease, or distribute the tech products and services to any third party without the prior written consent of Jabu.

Termination

Jabu may terminate or suspend your access to and use of the tech products and services at any time, without prior notice or liability, for any reason, including but not limited to your breach of these Terms. Upon termination, your right to access and use the tech products and services will immediately cease.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in [Jurisdiction].

Changes to Terms
